RULES FOR PURCHASING GOODS IN THE ONLINE SHOP www.sokiusuknelesvaikams.lt

  1. GENERAL PROVISIONS

1.1 These Privacy and Rules for Purchase of Goods in the electronic store www.sokiusuknelesvaikams.lt (hereinafter referred to as the “Rules”) have been established in order to ensure the rights of you (hereinafter referred to as the “Buyer”) and the UAB “Kilpa” (hereinafter referred to as the “Seller”), which is selling the goods in the electronic store www.sokiusuknelesvaikams.lt (hereinafter referred to as the “Store”), to determine the duties, responsibilities, rules of protection of personal data, and other provisions relating to the purchase and sale of the goods in the Store, and to the offers of direct marketing. By making an online purchase, forming a shopping cart and filling in the order form, and by ticking the box next to the statement “I agree to the Terms and Conditions”, the Customer confirms that he/she has read, accepts and agrees to be bound by these Terms and Conditions.

1.3 The Rules set out the conditions and procedures for ordering, purchasing and returning the Shop’s goods, as well as the information required to be provided to the Buyer in accordance with the legislation of the Republic of Lithuania.

1.4 The Seller shall be exempt from any liability in cases where losses or other adverse consequences arise from the Buyer’s failure to read the rules, recommendations or information provided by the online shop, even though the Buyer was given the opportunity to do so.

1.5 The Seller reserves the right to unilaterally amend the Terms and Conditions at any time by posting the amended Terms and Conditions on the website of the online Shop at www.sokiusuknelesvaikams.lt.The amendments shall come into force from the moment of posting and shall be valid for all the transactions entered into after the posting.

  1. CONCLUSION OF THE CONTRACT

2.1 Contracts for the purchase and sale of goods (hereinafter referred to as “Contracts”) in the Online Shop shall be concluded in electronic form. When concluding these Contracts with the Buyers, the Seller shall be guided by the provisions of the Civil Code of the Republic of Lithuania regulating distance contracts and by the “Retail Trade Rules” approved by the Government Resolution of the Republic of Lithuania No. 738 of 22nd July, 2004.

2.2 The following persons are entitled to make purchases in the Seller’s online Shop: able-bodied natural persons; minors between the ages of fourteen and eighteen only with the consent of their parents or guardians, unless they are independently disposing of their own income; legal persons; and authorized representatives of all of the above. By accepting these Terms and Conditions, the Buyer confirms that he/she has the right to make purchases in the Seller’s online Shop.

2.3.The Contract of Sale and Purchase of Goods between the Buyer and the Seller shall be deemed to be concluded and shall come into force from the moment when the Buyer, having created a shopping cart in the online Shop, indicated the delivery address and other necessary data, selected the payment method and having read and confirmed his/her consent to these Terms and Conditions, presses the “Confirm Purchase” link.

2.4 These Terms and Conditions, the descriptions of Delivery, Payment and Returns, information about the Seller, as well as the electronic notification sent by the Seller to the Buyer about the receipt of the order, which form an integral part of the Terms and Conditions, shall be deemed to be an integral part of the Agreement between the Buyer and the Seller.

2.5 Each Contract concluded electronically between the Buyer and the Seller shall be stored in the database of the Online Shop.

2.6 The Contract between the Buyer and the Seller shall remain in force until the obligations of the parties under the Contract have been fully discharged or terminated in accordance with the procedures set out in these Conditions.

  1. GOODS AND THEIR PRICES

3.1 The characteristics of each item for sale shall be set out in the description accompanying the item in the Online Shop. The Seller shall not be liable if the color, shape or other parameters of the goods in the Online Shop do not correspond to the actual color, shape or other parameters of the goods due to the characteristics and/or settings of the display used by the Buyer.

3.2 The Seller shall have the right to change the offer of goods in the online Shop at any time without notice to the Buyer.

3.3.The price of each item sold is given in Euros and is indicated in the online Shop next to the respective item in the Buyer’s order. The Seller undertakes to sell the Goods at the prices in force at the time the Buyer’s order is placed with the Seller.

3.4 The price of the Goods is inclusive of Value Added Tax (VAT).

3.5 The price of the Goods does not include any delivery charge to the Buyer. The charges applicable for delivery of the Goods are set out in Clause 5.2 of these Conditions.

3.6 The Seller shall have the right, at its sole discretion, to determine the minimum basket size, i.e. the minimum amount at which the Buyer’s order will be filled.

  1. PAYMENT FOR GOODS

4.1 The Buyer shall pay for the Goods and their delivery using the paySera digital payment platform and bank transfer.

4.2 The Seller shall only proceed with the execution of an order for Goods placed by the Buyer upon receipt of full payment for the Goods and their delivery. Payment shall be deemed to have been made when the full amount due has been received and credited to the Seller’s bank account.

4.3 If the Buyer fails to pay for the Goods and their delivery, the Buyer shall be deemed to have withdrawn from this Contract and the Buyer’s relevant order shall be cancelled.

4.4 The Seller undertakes to provide the Buyer with all relevant and correct information necessary for the payment of the goods and delivery services. However, the Seller accepts no liability for any inadequate services provided by the banks through which the Buyer’s payment to the Seller was made and for any losses resulting therefrom. Nor shall the Seller accept any liability arising from errors made by the Buyer in the formation and execution of the payment order (e.g. incorrect indication/entry of the account number, incorrect order code, etc.) and any losses and/or other adverse consequences arising there from. Furthermore, the Seller does not accept any liability and consequential losses and/or other adverse consequences arising from any discrepancy in delivery times, damage to packaging or loss of the shipment during transportation.

  1. DELIVERY OF GOODS

5.1 The delivery of goods shall be carried out throughout the territory of the Republic of Lithuania, including the Curonian Spit. The goods shall be delivered to the address specified by the Buyer at the time of registration or in the order form. The delivery of the goods shall be made to LPEXPRESS, OMNIVA or VENIPAK terminals.

5.2 The delivery charge for delivery of the Goods shall be as set out below:

5.2.1 For purchases of €100 or more, there is no delivery charge in Lithuania. The cost of collecting the goods at LP EXPRESS, OMNIVA, VENIPAK self-service terminals: 3.00 €.

5.3 Goods are normally delivered to the Buyer’s address in Lithuania within 5-7 working days. The Buyer agrees that, exceptionally, due to unforeseen circumstances, the delivery of the goods may be delayed, but in any case, the goods shall be delivered within 30 (thirty) calendar days at the latest. In such a case, the Seller will immediately contact the Buyer to agree on a delivery date. The delivery period shall commence after the Seller has received payment from the Buyer for the Goods and delivery services.

5.4 In all cases, the Seller shall be exempt from liability for delay in delivery of the Goods if the Goods are not delivered to the Buyer or are delivered late due to the Buyer’s own fault or due to circumstances beyond the Buyer’s control.

5.5 Goods shall only be packed and dispatched on working days from Monday to Friday.

5.8 Upon delivery of the Goods to the address specified by the Buyer, the Goods shall be handed over to the Buyer or to any other person at the address specified by the Buyer. The Buyer confirms its understanding that any person at the delivery address specified by the Buyer (“the Buyer’s representative”) will be deemed to be a suitable person to receive the goods.

5.9 The Buyer must inspect the condition of the consignment at the time of collection of the goods. The Buyer shall check that the packaging of the consignment received is not wrinkled, wet, torn or otherwise externally damaged, which may affect the quantity of the goods or the quality of the goods. If the Buyer notices any damage to the external appearance of the consignment and/or goods, or any discrepancy in the range and/or quantity of the goods, the Buyer shall immediately note the damage and report it to the parcel terminal company and to the Seller by e-mail info@sokiusuknelesvaikams.lt

6.RETURN/EXCHANGE OF GOODS

6.1 The Buyer (consumer) shall have the right to return the Goods by notifying the Seller in writing within 14 (fourteen) days from the date of delivery. The Buyer’s written notification of the return of the Goods must be submitted to the Shop’s e-mail address info@sokiusuknelesvaikams.lt.

6.2 The returned/exchanged goods must meet the following requirements:

6.2.1. the goods must not have been worn or otherwise used and must be in good condition and not have lost their value;

6.2.2. the goods must be presented in the original manufacturer’s packaging and must be in good condition;

6.2.3. the goods must remain with all labels attached and in full condition;

6.2.4. the returned/exchanged item must be accompanied by the “Product Exchange/Return Form” and a proof of purchase at www.sokiusuknelesvaikams.lt (invoice).

6.2.5. changes to the appearance of the packaging that were necessary to inspect the goods (e.g. opening the packaging bag) shall not be considered a material change to the appearance of the goods.

6.3. Methods of repayment/exchange:

6.3.1.To post offices in Vilnius: LP Express; Omniva; Venipak , RIMI Pavilnionių st. 22;

6.3.2. to the physical shop during opening hours at Verkių st. 30; Vilnius; LT-08221. Opening hours I-V 9-18.

6.4 Together with the returned/exchanged goods, the Buyer must submit to the Seller a correctly filled in “Goods Exchange/Return Form”, which the Seller makes available in the online Shop www.sokiusuknelesvaikams.lt, and the proof of purchase in the online Shop (VAT invoice). The Seller shall not accept any liability arising from errors made by the Buyer when completing the “Product Exchange-Return Form” (e.g. incorrect account number; incorrect order code, etc.) and any associated losses and/or other negative consequences.

6.5 Before returning quality goods, the Buyer must check whether the goods are on the non-returnable goods list. Link: http://www3.lrs.lt/pls/inter3/dokpaieska.showdoc_l?p_id=141450 The Buyer shall not be entitled to exercise the right to withdraw from the Contract and to return goods which have been unpacked after delivery and which are unsuitable for return for health or hygiene reasons (e.g. underwear, if the hygiene protection tape has been removed), or in the other cases referred to in paragraph 2 of Article 6.22810 of the Civil Code of the Republic of Lithuania, etc.

6.6 The costs of returning the Goods to the Seller shall be borne by the Buyer. If the Buyer returns/exchanges the Product(s), the delivery costs shall not be refunded or reimbursed. These costs shall only be reimbursed if the goods are defective.

6.7 The Buyer’s rights in the event of sale of goods of inadequate quality shall be governed by the Civil Code of the Republic of Lithuania and the Retail Trade Rules approved by Government Resolution No.738 of the Republic of Lithuania dated 22 July 2014, subject in addition to the provisions set out in Clauses 6.3 – 6.5 of these Rules.

  1. FINAL PROVISIONS

7.1.The Seller shall have the right to suspend (terminate) the operation of the Shop temporarily or indefinitely without informing the Buyer.

7.2 When commenting or sending a recommendation, the Buyer shall be responsible for ensuring that any information provided by the Buyer is true, accurate or otherwise not misleading, and does not infringe the rights of third parties or the requirements of the legislation of the Republic of Lithuania. By commenting on or sending a recommendation, the Buyer accepts responsibility for its actions.

7.3 The Seller reserves the right to delete and/or edit the comments posted by the Buyer at any time if the Seller considers that the Buyer has not complied with the requirements set out in Clause 7.2 of these Terms and Conditions.

7.4 The Seller shall send all notices of any kind to the Buyer to the e-mail address provided in the Buyer’s registration form or order form.

7.5 The Buyer shall send all notices, inquiries, complaints, etc. of any kind to the Seller’s e-Shop e-mail address at info@sokiusuknelesvaikams.lt.

7.6 These Terms and Conditions do not restrict in any way and shall not be construed as restricting in any way, the rights of the Buyer (consumer) as set out in the legislation of the Republic of Lithuania. These Terms and Conditions have been drawn up in accordance with the legislation of the Republic of Lithuania. The Contract for the sale of goods concluded between the Buyer and the Seller shall be governed by the law of the Republic of Lithuania.

7.7 All disputes between the Buyer and the Seller arising out of or in connection with the Sale and Purchase Agreement shall be settled by negotiation between the parties. In the event of failure to reach an agreement, disagreements shall be settled in accordance with the procedure established by the legislation of the Republic of Lithuania.

7.8 The Seller reserves the right to amend or supplement the Terms and Conditions at any time, taking into account the statutory requirements. Each time the Buyer makes a purchase in the Online Shop, the Buyer will be required to accept these Terms and Conditions anew.
